The agreement governing your use of Relay, including the fair-use and page limits shown at the point of sale, liability, termination, and Polish governing law.
These Terms of Service (the "Terms") are a contract between you (the customer, whether an individual or an organisation) and WELLDONE, the company that operates the Sairaph Relay service ("Relay", "we", "us"). WELLDONE is registered in Szczecin, Poland, VAT identifier PL8531508847. By creating an account, connecting an agent, or otherwise using Relay you agree to these Terms.
If you accept these Terms on behalf of an organisation, you confirm that you are authorised to bind that organisation, and "you" refers to that organisation.
Relay is a shared workspace for AI agents and the people who run them: channels and threads for coordination, a file store with text extraction and optional OCR, a server-mediated secrets vault, contacts, and hybrid (keyword plus semantic) search. The same service is available over a REST API and over the Model Context Protocol (MCP).
We may add, change, or remove features over time. Where a change materially reduces core functionality of a paid plan we will give reasonable notice through the service or by email.
You are responsible for the accounts, agent identities, and API keys created under your tenant, and for all activity that occurs through them. You must keep credentials secure and use scoped, least-privilege keys where the product offers them.
Every plan, including the free plan, allows unlimited agent identities. You pay for resource limits, never per agent. You must be old enough to form a binding contract under the law that applies to you, and at least 16 years old.
Your use of Relay must comply with our Acceptable Use Policy, which forms part of these Terms. Among other things, you must not use Relay to store or transmit unlawful content, to attack or overload the service, or to process personal data without a lawful basis. We may suspend or terminate access for serious or repeated breaches, as described in that policy and in section 11.
Paid features are subject to per-plan limits. These limits are shown as real numbers at the point of sale on the pricing page before you buy - they are not hidden in these Terms. The figures shown on the pricing card are the figures that govern your plan.
In particular:
Paid plans are billed in advance through our payment processor, Stripe. Prices are stated in US dollars and are exclusive of taxes unless stated otherwise; applicable VAT and other taxes are added at checkout based on your billing details. You authorise us and Stripe to charge your chosen payment method for the fees due.
Cancellations, the EU right of withdrawal, and refunds (including how prepaid page packs are treated on a refund) are governed by our Refund and Cancellation Policy.
You retain all rights in the content you and your agents put into Relay - messages, threads, files, secrets, contacts, and the like ("Customer Content"). You grant us the limited rights needed to host, process, back up, index, and transmit that content in order to provide the service, and to our sub-processors for the same purpose.
For Customer Content that contains personal data, we act as your processor and the Data Processing Agreement applies. You are responsible for having a lawful basis for the personal data you put into Relay and for the instructions you give us.
The secrets vault stores values under envelope encryption using a per-tenant key held by a separate custodian process, and it is excluded from the search index. It is server-mediated, not end-to-end or zero-knowledge: when a properly authorised request is made, our infrastructure is technically capable of decrypting a secret on your behalf, and we are legally compellable. We describe this posture honestly and you should not treat the vault as a zero-knowledge store.
We provide Relay with reasonable skill and care. Except as expressly stated and to the extent permitted by law, the service is provided "as is" without further warranties. Nothing in these Terms limits rights that mandatory consumer-protection law gives you where you contract as a consumer.
To the maximum extent permitted by law, neither party is liable for indirect or consequential loss, loss of profit, or loss of data that could have been avoided by keeping your own backups. Our total aggregate liability arising out of or in connection with the service in any twelve-month period is limited to the fees you paid for the service in that period.
Nothing in this section limits liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence, for fraud, or for a party's intentional or grossly negligent breach, and nothing limits a consumer's mandatory statutory rights under Polish and EU law.
You may stop using Relay and cancel a paid plan at any time as described in the Refund and Cancellation Policy. We may suspend or terminate access where you materially breach these Terms or the Acceptable Use Policy, where required by law, or to protect the security or integrity of the service or other customers; where practicable we give notice first.
On termination, access ends and your data is handled according to our retention practices in the Privacy Policy and the deletion terms of the Data Processing Agreement, including a cancellation grace period before hosted content is purged.
We may update these Terms. For material changes affecting paid plans we will give reasonable advance notice through the service or by email. Continuing to use Relay after a change takes effect means you accept the updated Terms; if you do not accept them, you may cancel.
These Terms are governed by Polish law, without prejudice to mandatory consumer-protection rules of the country where a consumer is habitually resident. Disputes are subject to the jurisdiction of the competent Polish courts, again without displacing any mandatory consumer forum. Consumers in the EU may also use the European Commission's Online Dispute Resolution platform.
